These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "User") and Birchwood Group LLC governing your access to and use of the ArcAnswer browser extension, our website, and related services (together, the "Service"). We have written these Terms to be clear and fair. They are designed to protect both you and us, and to set reasonable expectations for a professional software product.

Executive Summary

ArcAnswer is offered on a freemium basis. A free tier lets you audit pages within daily and monthly limits, and a paid Pro tier unlocks unlimited scans plus the Projects and Reports workspace. Definitions

Acceptance of Terms

By installing, accessing, or using ArcAnswer, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using ArcAnswer on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization. If you do not agree, you must not use the Service.

Eligibility

To use ArcAnswer, you must:

Subscriptions, Billing, and Plans

ArcAnswer is offered under the following plans.

Billing. Paid subscriptions are billed in advance through ExtensionPay and Stripe on a recurring basis according to the plan you choose. By subscribing, you authorize us and our payment providers to charge the applicable fees to your payment method. All prices are stated in United States dollars unless noted otherwise, and you are responsible for any applicable taxes.

Note: Prices, plans, and features may change over time. We will provide reasonable notice of material pricing changes, and any change will take effect on your next billing cycle unless stated otherwise.

Renewals, Cancellation, and Refunds

Renewals. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Monthly plans renew monthly; annual plans renew annually.

Cancellation. You may cancel at any time through your subscription management options or by contacting support. When you cancel, you retain Pro access until the end of the current paid period, after which your plan reverts to the free tier. Cancellation stops future charges but does not, by itself, trigger a refund of the current period.

Refunds. We want you to be satisfied. If you are unhappy with a recent charge, contact us within a reasonable time and we will review your request in good faith. Except where required by law, refunds are provided at our discretion, and we generally do not refund partial billing periods.

Best practice: If you are unsure whether Pro is right for you, start on the free tier, then upgrade when you are confident. You can cancel anytime.

License to Use ArcAnswer

Subject to these Terms, Birchwood Group LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use ArcAnswer for your personal or internal business purposes. This license does not transfer ownership of the Service to you. All rights not expressly granted are reserved by Birchwood Group LLC.

You may not sublicense, resell, rent, or redistribute the Service, except as expressly permitted by us in writing.

Intellectual Property

Our property. ArcAnswer, including its software, design, logos, brand, scoring methodology, generators, documentation, and all related intellectual property, is owned by Birchwood Group LLC and protected by intellectual property laws. The ArcAnswer name and marks may not be used without our prior written permission.

Your property. You retain all rights to the websites and content you audit and to the fixes and reports you generate for your own use. Nothing in these Terms transfers ownership of Your Content to us. By using the Service, you grant us only the limited rights necessary to operate the Service for you.

Feedback. If you send us ideas or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service, without obligation to you.

Acceptable Conduct and Restrictions

You agree to use ArcAnswer responsibly and lawfully. In addition to the detailed rules in our Acceptable Use Policy, you agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law.
• Circumvent usage limits, licensing, or security controls.
• Use the Service to build a competing product by copying its methodology or output at scale.
• Interfere with or disrupt the Service or its infrastructure.
• Use the Service to violate the rights of others or any applicable law.

ArcAnswer interacts with a small number of third-party services, including our payment providers and the public files of the websites you audit. Your use of any third-party service is governed by that service's own terms and privacy policy, and Birchwood Group LLC is not responsible for third-party services.

If we offer programmatic access or an application programming interface (API) now or in the future, your use of it will be subject to any published rate limits, authentication requirements, and additional terms. Abuse of an API, including excessive automated requests, is prohibited and may result in throttling or termination.

AI Limitations and Responsible Use

ArcAnswer is an AI-powered analysis tool, and it is important to understand what that means.

• Guidance, not guarantees. ArcAnswer estimates how ready a page is to be read and cited by AI engines and suggests improvements. It cannot guarantee that any AI engine or search engine will index, rank, cite, or surface your content. Those systems are controlled by third parties and change frequently.
• Deterministic scoring. ArcAnswer's scoring and fix generation are deterministic and run locally. They reflect established best practices, not the private ranking systems of any specific engine.
• Your judgment matters. Review every fix before publishing it. You are responsible for the accuracy and appropriateness of any content you publish based on ArcAnswer's suggestions.

Disclaimers and Warranty

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. Birchwood Group LLC disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that it will produce any particular business result, ranking, or citation. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, Birchwood Group LLC and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) fifty United States dollars.

Note: Some jurisdictions do not allow the limitation of liability for certain damages. In those places, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Birchwood Group LLC and its owners, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms or any law; (c) your violation of the rights of any third party; or (d) content you publish based on the Service.

Termination

By you. You may stop using ArcAnswer at any time and may cancel a paid subscription as described above. Uninstalling the extension removes it from your browser.

By us. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, if required by law, or if necessary to protect the Service or other users. Where practical and lawful, we will provide notice and, for minor issues, an opportunity to cure.

Effect of termination. Upon termination, your license to use the Service ends. Provisions that by their nature should survive termination, such as intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

Dispute Resolution and Arbitration

We prefer to resolve concerns quickly and directly.

1. Informal resolution first. Before starting any formal proceeding, please contact us at legal@bwg.llc and give us a chance to resolve the issue. Most disputes can be resolved this way.
2. Binding arbitration. If we cannot resolve a dispute informally within a reasonable period, you and Birchwood Group LLC agree that the dispute will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring a claim in small-claims court where eligible.
3. No class actions. To the extent permitted by law, you and Birchwood Group LLC agree that disputes will be brought only in an individual capacity and not as part of a class or representative action.

Note: Some jurisdictions do not permit mandatory arbitration or class-action waivers. If you live in such a jurisdiction, these provisions apply only to the extent permitted by law, and you retain any rights that cannot be waived.

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, the state and federal courts located in Florida will have jurisdiction over any dispute not subject to arbitration, and you consent to that jurisdiction where permitted by law.

Severability, Force Majeure, and Entire Agreement

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full effect.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, outages, acts of government, or failures of third-party infrastructure.

Entire agreement. These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Accessibility Statement, constitute the entire agreement between you and Birchwood Group LLC regarding the Service and supersede any prior agreements on the subject.

User Responsibilities

As a User, you agree to:

• Keep your billing information and subscription email accurate and secure.
• Review generated fixes before publishing them.

Company Responsibilities

Birchwood Group LLC commits to:

• Provide the Service with reasonable skill and care.
• Bill you accurately and honor cancellations.

• Provide responsive, professional support.

Examples

Example 1 — Upgrading and canceling. You subscribe to Pro Monthly, use it for a project, then cancel two weeks in. You keep Pro access until the end of that month, after which you return to the free tier. No further charges occur.

Example 2 — Understanding AI limitations. ArcAnswer scores your page at 92 and suggests adding FAQ schema. You add it, but an AI engine still does not cite your page the next day. This is expected: ArcAnswer improves readiness, but third-party engines decide what to cite, and results vary and take time.

Example 3 — Acceptable use. You try to run ArcAnswer through an automated script to scan thousands of unrelated sites you do not own. This violates these Terms and the Acceptable Use Policy, and we may suspend your access.

Frequently Asked Questions

Is there a free version? Yes. The free tier includes 10 scans per day and 100 per month with all core checks and fixes.

How do I cancel? Cancel anytime through your subscription options or by emailing support. You keep Pro until the end of the paid period.

Do you offer refunds? Contact us and we will review your request in good faith. Refunds are provided at our discretion except where required by law.

Who owns the reports and fixes I create? You do. You retain rights to the websites you audit and the content you generate for your own use.

Can ArcAnswer guarantee I will be cited by AI engines? No. ArcAnswer improves readiness and follows best practices, but third-party engines control indexing and citation.

What happens if I break the rules? We may warn, suspend, or terminate access depending on the severity, as described in the Acceptable Use Policy.
